West Marine’s plan of reorganisation became effective on August 21, 2026, according to a notice filed with the U.S. Bankruptcy Court for the District of Delaware. The retailer has formally exited Chapter 11, ten days after Judge Karen B. Owens entered the Confirmation Order on August 11.
Under the plan, holders of the company’s roughly $251.2 million in term loan debt receive 100 per cent of the new equity in the reorganised company, subject to dilution from a management incentive plan. The debt-for-equity swap was the fallback outcome built into the case from the start. A parallel sale process closed without a single qualified bid by the June 26 deadline, cancelling the planned auction and leaving the recapitalisation as the only route out.
West Marine filed for Chapter 11 protection on May 17, backed by a Restructuring Support Agreement covering 96.2 per cent of its term loan lenders, 100 per cent of its FILO lenders and 93.9 per cent of its equity holders. The retailer has confirmed 91 store closures across 28 states over the course of the case, out of a footprint of roughly 200 locations at the petition date.
The notice sets two further deadlines now the plan is effective. Administrative claims that accrued before the Effective Date must be filed by October 20, 2026, or they are permanently barred. Final requests for professional fee payments are due by October 5.
The Plan and Confirmation Order bind every creditor and interest holder, including those who voted against it or did not vote at all.
